1. About These Terms
These Terms of Service ("Terms") govern your access to and use of the website at navieryacht.com (the "Website"). The Website is operated by NAVIER YACHTS FZCO ("NAVIER YACHTS", "we", "us", "our"), located at Dubai Integrated Economic Zones (DSO), Dubai, United Arab Emirates.
By accessing, browsing or using the Website, or by submitting an enquiry through it, you confirm that you accept these Terms. If you do not accept them, please do not use the Website.
The Website is a business-to-business marketing and information platform. It is intended for professional and trade visitors, including brokers, dealers, charter operators, surveyors, fleet owners and commercial operators.
2. Definitions
- "Content" means all text, images, photographs, video, illustrations, specifications, data, drawings and other material on the Website.
- "Enquiry" means any message, form submission, quotation request or other communication you send to us through the Website.
- "Vessel" means any boat, yacht, catamaran, patrol craft or other marine product designed, built, supplied, serviced or brokered by us.
3. Use of the Website
You may use the Website for lawful purposes only, and only in a way that does not infringe the rights of, or restrict or inhibit the use and enjoyment of the Website by, any third party. In particular you must not:
- Submit false, misleading, defamatory or fraudulent information, or impersonate any person or organisation.
- Use the Website to send unsolicited advertising, spam, chain letters or any form of bulk commercial communication.
- Introduce viruses, malware, or any other harmful material, or attempt to gain unauthorised access to the Website, its server, or any connected system.
- Probe, scan or test the vulnerability of the Website, or circumvent any security or rate-limiting measure.
- Use automated tools to scrape, harvest, download or index the Content, or to submit Enquiries in bulk, without our prior written permission.
- Reproduce, duplicate, copy, sell, resell or otherwise exploit the Website or Content for commercial purposes without our written consent.
- Use the Website or Content for any unlawful purpose, or in a manner that damages our reputation or the reputation of our partners.
We may suspend or refuse access to the Website at any time, without notice, where we reasonably believe these Terms have been breached.
4. Intellectual Property and Licence
All Content on the Website — including the NAVIER YACHTS name and logo, product names, hull designs, photographs of vessels under construction and completed, technical illustrations and written copy — is owned by us or licensed to us, and is protected by copyright, trade mark and other intellectual property laws. Nothing on the Website transfers any ownership or right in that intellectual property to you.
We grant you a limited, revocable, non-exclusive, non-transferable licence to view the Website and to print or download single copies of pages for your own internal, non-commercial reference and for the purpose of evaluating our products. Under this licence you must not:
- Modify or create derivative works from any part of the Content;
- Use the Content for any commercial purpose, or for any public display, broadcast or publication;
- Use the Content to train, fine-tune or evaluate any machine-learning or artificial-intelligence system without our prior written consent;
- Remove, obscure or alter any copyright, trade mark, watermark or other proprietary notice;
- Transfer, mirror or re-post the Content on any other website, server or platform.
Any use of our trade marks, product photography or vessel imagery in your own marketing requires our prior written permission. Third-party trade marks that appear on the Website remain the property of their respective owners.
5. Product Information, Specifications and Availability
Content describing vessels, models, dimensions, capacities, engines, materials, performance figures, pricing indications and delivery times is provided for general information only. It does not constitute a specification, warranty or binding offer, and it is subject to change without notice as part of our continuing product development.
Images and renders are illustrative. Because each vessel is built to order, the finished craft may differ from photographs, renders and drawings shown on the Website — including in colour, fittings, layout, equipment and finish. Unless expressly agreed in writing, no description on this Website forms part of any contract.
Any performance figures, range estimates and sea-keeping characteristics are indicative and depend on loading, sea state, hull condition, engine configuration and operating practice.
6. Enquiries, Quotations and Contracts
Submitting an Enquiry through the Website does not create a contract. An Enquiry is an invitation to begin a conversation. A binding contract for the design, construction, supply, brokerage or servicing of a Vessel arises only when we and the customer have signed a written agreement, and any related deposit has been received.
Quotations we issue are valid for the period stated in them and are, unless stated otherwise, indicative. Vessel pricing is influenced by raw material prices (in particular aluminium, composites and marine equipment), exchange rates, freight, and duty. We may withdraw or revise a quotation before a contract is signed.
7. Pricing, Currency and Taxes
Prices shown or quoted are in the currency stated. They exclude VAT, customs duties, import taxes, registration fees, marine survey fees, delivery and commissioning charges, and any local levies, unless expressly stated otherwise. Any such amounts are payable by the customer in addition to the agreed price.
8. Builds, Delivery and Risk
Lead times, production slots and delivery dates we communicate are good-faith estimates. They may be affected by factors outside our reasonable control, including supply-chain disruption, material shortages, port congestion, shipping availability, severe weather, and the actions of customs or other authorities. Build, delivery, title, insurance and risk terms for any Vessel are governed exclusively by the signed build or supply agreement for that Vessel, and the Website does not vary those terms.
9. Third-Party Content, Links and Messaging
The Website may link to third-party websites and services, including messaging platforms such as WhatsApp. Those links are provided for convenience only. We do not control and are not responsible for the content, accuracy, availability, security or privacy practices of any third-party website or service. Following such a link is at your own risk, and the third party's terms and policies will apply.
10. Disclaimer of Warranties
The Website and its Content are provided on an "as is" and "as available" basis. To the fullest extent permitted by applicable law, we disclaim all warranties, representations and conditions of any kind, whether express, implied or statutory, including any implied warranties of merchantability, fitness for a particular purpose, accuracy and non-infringement.
We do not warrant that the Website will be uninterrupted, secure, error-free, or free of viruses or other harmful components, or that the Content is complete, accurate or current. Any warranty in respect of a Vessel or service is given only in the applicable signed agreement, and nothing on the Website expands or replaces it.
Nothing in these Terms excludes or limits any liability that cannot lawfully be excluded or limited.
11. Limitation of Liability
To the fullest extent permitted by applicable law, we shall not be liable for any indirect, incidental, special, consequential, exemplary or punitive loss or damage, or for any loss of profit, revenue, business, opportunity, goodwill, anticipated savings or data — whether arising in contract, tort (including negligence), breach of statutory duty or otherwise — even if we have been advised of the possibility of such loss.
Our total aggregate liability arising out of or in connection with your use of the Website (as distinct from any signed agreement for a Vessel) shall not exceed AED 5,000.
This section does not affect liability for death or personal injury caused by our negligence, for fraud or fraudulent misrepresentation, or for any other liability that cannot be limited under applicable law.
12. Indemnity
You agree to indemnify and hold harmless NAVIER YACHTS FZCO, its directors, officers, employees and agents from and against any claims, liabilities, damages, losses, costs and reasonable legal expenses arising out of or connected with: your breach of these Terms; your misuse of the Website; any content or information you submit through the Website; or your infringement of the rights of any third party.
13. Confidentiality
If you share confidential information with us — for example a bespoke design brief, tender specification or commercial requirement — we will treat it as confidential and use it only to evaluate and respond to your Enquiry, subject to our obligations under applicable law and to the extent we are required to disclose it to our shipyard, subcontractors or professional advisers on a need-to-know basis. Please contact us before sending commercially sensitive material if you require a formal confidentiality agreement.
14. Force Majeure
We shall not be liable for any failure or delay in performance caused by events beyond our reasonable control, including acts of God, natural disasters, flood, fire, war, armed conflict, civil unrest, piracy, epidemic or pandemic, strikes, industrial action, governmental or regulatory action, sanctions, embargoes, export or import restrictions, power failure, or failure of telecommunications, transport or supply chains.
15. Changes to the Website and These Terms
We may modify, suspend or discontinue any part of the Website at any time, and we may revise these Terms from time to time. The version published on this page at the time of your visit is the version that applies. Where a change is material we will update the "Last updated" date shown at the top of this page. Your continued use of the Website after a revision constitutes acceptance of the revised Terms.
16. Severability and Waiver
If any provision of these Terms is found to be invalid, illegal or unenforceable, that provision shall be severed and the remaining provisions shall continue in full force and effect. If we fail to enforce any provision, that failure does not constitute a waiver of our right to enforce it later.
17. Governing Law and Jurisdiction
These Terms, and any dispute or claim (including non-contractual disputes or claims) arising out of or in connection with them or their subject matter, are governed by and construed in accordance with the laws of the United Arab Emirates as applied in the Emirate of Dubai. The courts of Dubai shall have exclusive jurisdiction to settle any such dispute or claim, and you irrevocably submit to that jurisdiction.
